By creating an account or using Neclot, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using Neclot on behalf of a business, you confirm that you have the authority to bind that business to these terms. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use our platform. If you do not agree to these terms, please do not use Neclot. We may update these terms from time to time. Continued use of the platform after changes take effect means you accept the revised terms.

You are responsible for keeping your account credentials secure and for all activity that happens under your account. Neclot offers paid subscription plans billed on a recurring basis, as described at checkout. Billing terms: - Subscriptions renew automatically unless cancelled before the renewal date - Prices may change with at least 30 days notice before your next billing cycle - Payments are processed securely through our third-party payment providers - Refunds are issued at our discretion and in line with the refund policy shown at checkout You can cancel your subscription at any time from your account settings. Cancellation stops future billing but does not refund the current billing period unless required by law.

Neclot is built to help businesses automate bookings, marketing and client communication. You agree to use it only for lawful purposes. You may not: - Use the platform to send spam, unsolicited messages or deceptive content - Attempt to reverse engineer, scrape or interfere with our systems - Resell or sublicense access to Neclot without our written permission - Upload content that is illegal, infringing or harmful to others - Use automated tools to abuse rate limits or bypass security measures We may suspend or terminate accounts that violate this policy, with or without prior notice depending on severity.

Neclot and its original content, features and functionality are owned by Neclot. Inc. and protected by intellectual property laws. What this means: - You retain ownership of the content and data you upload to the platform - We retain ownership of the Neclot software, design, branding and underlying technology - You are granted a limited, non-exclusive, non-transferable license to use the platform for your business - You may not copy, modify or create derivative works from our platform without permission Feedback or suggestions you share with us may be used to improve Neclot without any obligation to compensate you.

We work to keep Neclot reliable, but we do not guarantee uninterrupted or error-free service. A few things to know: - Scheduled maintenance will be communicated in advance whenever possible - We are not liable for downtime caused by third-party integrations (Instagram, Google Calendar, Telegram and similar services) - Features may be added, changed or removed as the platform evolves - We aim for high uptime but service levels are not guaranteed unless covered by a separate agreement If a disruption affects your business operations, our support team will work with you to resolve it as quickly as possible.

Neclot is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law: - We are not liable for indirect, incidental or consequential damages arising from your use of the platform - Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim - We are not responsible for losses caused by third-party services connected to your account - Nothing in these terms limits liability that cannot be excluded under applicable law We encourage you to maintain your own backups of critical business data.

You may stop using Neclot and close your account at any time from your account settings. We may suspend or terminate your access if: - You violate these Terms of Service - Your account poses a security or legal risk - Payment for your subscription fails and is not resolved within a reasonable period - We are required to do so by law Upon termination, your right to use the platform ends immediately. Data deletion follows the timelines described in our Privacy Policy.

These terms are governed by the laws of the jurisdiction in which Neclot Platform Ltd. is registered, without regard to conflict of law principles. Any disputes arising from these terms or your use of the platform will first be addressed through good-faith negotiation. If a resolution cannot be reached, disputes will be handled through the courts or arbitration process specified in your service agreement.
